All project proposals, quotations, and estimates provided by Indice Technologies are valid for thirty (30) days from the date of issue unless specified otherwise in writing. The project scope is strictly limited to the items detailed in the official engineering design and contract agreement. Any additions, adjustments, or variations requested during project execution will be subject to custom variation orders and extra charges.
Clients must provide prompt and safe site access, necessary technical documents, layouts, administrative approvals, and electrical/utility access required for our engineering crews to complete the scope of work. Indice Technologies is not liable for project delays caused by client delays in providing access, approvals, or required technical details.
Payment milestones will be strictly billed as detailed in the project contract agreement. Standard billing terms require an initial mobilization advance prior to design commencement, followed by progress payments upon material delivery and milestone achievements. All invoices must be settled within fifteen (15) days of receipt. Late payments will incur interest charges at the rate of eighteen percent (18%) per annum.
Indice Technologies will make every reasonable effort to meet agreed project schedules. However, timelines are estimates and subject to adjustments due to supply chain delays, adverse weather conditions, site readiness issues, or variations requested by the client. Any changes to the layout, cabling route, or technical specifications must be approved via a signed variation order before execution.
All engineering drawings, technical designs, custom software configurations, layouts, and documentations drafted by Indice Technologies remain the intellectual property of Indice Technologies until full contract payment is received, at which point a non-exclusive license is granted to the client for the operation of the installed systems.
Both parties agree to protect and keep strictly confidential all commercial, technical, and proprietary information disclosed during the contract period. This obligation extends beyond the termination of the project agreement.
Indice Technologies provides a standard twelve (12) month engineering warranty on all installations covering assembly and wiring quality. Product warranties (e.g., CCTV cameras, solar panels, switchgears, or switches) are covered directly by the respective original equipment manufacturers (OEM) according to their terms.
Indice Technologies will not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or business operations, arising out of the performance or non-performance of our services. Our total liability for any claim shall not exceed the total amount paid by the client under the specific contract.
Neither party shall be liable for project delays or failures resulting from events beyond reasonable control, including acts of God, natural disasters, epidemics, strikes, material shortages, utility failures, or government regulations.
Either party may terminate a project contract if the other party commits a material breach and fails to remedy it within thirty (30) days of receiving written notice. Upon termination, the client shall pay for all engineering work completed and materials procured up to the termination date.
These Terms & Conditions and all contract agreements shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Jamnagar, Gujarat, India.
